Formerly known as the “Annual Return,” the Confirmation Statement is a way of confirming that the company’s information held by Companies House is accurate and up to date.

It allows Companies House—and by extension, other businesses, clients, and investors—to access reliable information about the company’s officers, shareholders, registered address, and more.


What Information is Included?

The Confirmation Statement itself is not used to make changes but rather to confirm that existing information is correct. However, if any changes have occurred—for example, changes to the shareholding structure, SIC codes (Standard Industrial Classification), or company officers—they must be updated before or at the time of filing the statement.

The main details confirmed in a Confirmation Statement include:

  • Company Name and Number

  • Registered Office Address

  • Principal Business Activities (SIC Codes)

  • Details of Company Directors and Company Secretary (if applicable)

  • Share Capital and Shareholders

  • People with Significant Control (PSCs)


When and How to File

The Confirmation Statement must be filed once every 12 months, but you can choose to file it more frequently if necessary—especially after making significant changes. The due date for your Confirmation Statement is usually one year after your company’s incorporation or the date of your last statement.
